Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Launchwood ("Launchwood," "we," "our," or "us") governing your access to and use of the Launchwood website, decentralized application ("dApp"), smart contract interfaces, APIs, waitlist, referral programs, and all related products and services (collectively, the "Platform").
By accessing, browsing, connecting a digital wallet to, participating in auctions, creating token launches, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable policies incorporated by reference, including our Privacy Policy.
If you do not agree to these Terms, you must immediately discontinue use of the Platform.
These Terms apply to all users of the Platform, including without limitation visitors, token launch creators, auction participants, liquidity providers, wallet holders, developers, API users, and any other individuals or entities interacting with the Platform.
Launchwood reserves the right to modify, amend, replace, or update these Terms at any time. Your continued use of the Platform following the publication of updated Terms constitutes your acceptance of the revised Terms.
2. Definitions
For purposes of these Terms, the following definitions apply:
"Platform" means the Launchwood website, decentralized application, frontend interface, APIs, smart contracts, waitlist, referral system, and all related services operated by Launchwood.
"User" means any individual or entity accessing or using the Platform.
"Creator" means a User who creates, deploys, manages, or promotes a token launch through the Platform.
"Participant" means any User who contributes assets, participates in auctions, purchases tokens, or otherwise interacts with token launches through the Platform.
"Auction" means any auction-based token distribution mechanism facilitated through the Platform's smart contracts.
"Launch" means the creation and deployment of a token offering utilizing the Platform.
"Digital Asset" means any blockchain-native token, cryptocurrency, stablecoin, NFT, or other digital asset supported by the Platform.
"Wallet" means a blockchain wallet used to authorize and sign blockchain transactions.
"Smart Contracts" means autonomous blockchain programs deployed by or integrated with the Platform.
"Blockchain" means the decentralized distributed ledger network upon which the Platform operates.
"Project Metadata" means any information submitted by Creators, including project names, logos, token information, descriptions, documentation, websites, social links, media, and related content.
"Third-Party Services" means any wallets, blockchain networks, RPC providers, APIs, cloud services, analytics providers, IPFS providers, block explorers, or other external services not operated by Launchwood.
3. Eligibility & Restricted Use
By using the Platform, you represent and warrant that:
- You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater.
- You possess the legal capacity and authority to enter into these Terms.
- Your use of the Platform does not violate any applicable law, regulation, court order, or contractual obligation.
- You are not located in, organized under the laws of, or ordinarily resident in any jurisdiction where access to or use of the Platform is prohibited by applicable law.
- You are not subject to sanctions administered by any applicable governmental authority or international sanctions program.
- You are not using the Platform on behalf of any sanctioned person, entity, or organization.
- You will not use any technology, including VPNs, proxies, or similar tools, for the purpose of circumventing geographic restrictions or applicable legal requirements.
You acknowledge that Launchwood does not determine whether your use of the Platform is lawful within your jurisdiction. You are solely responsible for ensuring compliance with all laws, regulations, licensing requirements, tax obligations, and other legal requirements applicable to you.
Launchwood reserves the right, but assumes no obligation, to restrict or deny access to the Platform where necessary to comply with applicable laws, sanctions, court orders, regulatory requirements, or risk management policies.
4. Description of the Platform
Launchwood is a decentralized, non-custodial auction-based token launch platform that enables users to create, discover, and participate in blockchain-native token launches through immutable smart contracts.
The Platform provides software interfaces designed to facilitate interactions with blockchain networks. These services may include:
- Creating and configuring token launches.
- Participating in auction-based token distributions.
- Viewing launch information and project metadata.
- Displaying auction progress and settlement information.
- Indexing publicly available blockchain data.
- Displaying graduated liquidity pools.
- Referral and waitlist functionality.
- APIs and developer tools.
- Other features introduced from time to time.
Launchwood does not issue, create, own, endorse, guarantee, or manage third-party tokens launched through the Platform.
The Platform is intended solely as a software interface facilitating interaction with decentralized smart contracts. Nothing on the Platform should be interpreted as an endorsement, recommendation, certification, verification, or approval of any project, creator, digital asset, or investment opportunity.
Listing a project on Launchwood does not imply that Launchwood has reviewed, audited, investigated, or approved that project.
5. Non-Custodial Nature of the Platform
Launchwood is a fully non-custodial platform.
At no time does Launchwood take possession, custody, ownership, or control of your:
- Digital assets.
- Wallet.
- Private keys.
- Recovery phrases.
- Authentication credentials.
- Blockchain accounts.
All blockchain transactions are initiated, signed, and authorized exclusively by you through your chosen wallet software.
Launchwood cannot:
- Access your wallet.
- Recover lost assets.
- Reverse blockchain transactions.
- Cancel confirmed transactions.
- Freeze digital assets.
- Modify blockchain records.
- Restore lost private keys.
- Reset wallet credentials.
You acknowledge that blockchain transactions are generally irreversible once confirmed by the applicable blockchain network.
Accordingly, you bear sole responsibility for verifying transaction details before authorizing any blockchain transaction.
6. User Responsibilities & Representations
By using the Platform, you represent, warrant, and agree that:
- You are solely responsible for securing your wallet, private keys, recovery phrases, passwords, and devices.
- All information you submit to the Platform is accurate and not misleading.
- You will independently verify all token launches, projects, auction parameters, smart contracts, and blockchain transactions before participating.
- You understand the risks associated with blockchain technology, digital assets, and decentralized finance.
- You will comply with all applicable laws, regulations, tax obligations, and licensing requirements.
- You will not rely upon any information displayed on the Platform as financial, investment, legal, accounting, tax, or professional advice.
- You accept full responsibility for every blockchain transaction you authorize.
- You understand that blockchain transactions cannot generally be reversed after confirmation.
You further acknowledge that Launchwood has no obligation to monitor, investigate, verify, audit, or guarantee the legitimacy, safety, legality, financial viability, or future success of any project listed on the Platform.
Your use of the Platform is entirely voluntary and undertaken at your own risk.
7. Launch Creator Responsibilities
Creators are solely and exclusively responsible for every aspect of any token launch, auction, project, or digital asset they create, deploy, publish, or promote through the Platform.
By creating a launch through Launchwood, you represent and warrant that:
- You have all necessary rights, permissions, licenses, and authority to launch the project and distribute the associated digital assets.
- Your token, smart contracts, project materials, and metadata do not infringe or violate the intellectual property, privacy, publicity, contractual, or other legal rights of any third party.
- All information you provide through the Platform is accurate, complete, current, and not misleading.
- Your project complies with all applicable laws, regulations, sanctions, licensing requirements, and tax obligations within every jurisdiction in which you operate.
- You are solely responsible for determining whether your token, auction, or project may be subject to securities, commodities, financial services, consumer protection, or other regulatory requirements.
- You will not intentionally provide false, deceptive, fraudulent, or misleading information regarding your project.
Creators are solely responsible for:
- The design and functionality of their token.
- Smart contract code that they deploy or integrate.
- Tokenomics.
- Auction configuration and parameters.
- Liquidity allocation.
- Marketing materials.
- Whitepapers and documentation.
- Websites and social media.
- Community communications.
- Project development.
- Distribution of raised funds.
- Ongoing maintenance of their project.
Launchwood does not review, verify, audit, approve, monitor, endorse, investigate, certify, or guarantee any project created through the Platform.
The availability or visibility of a project on the Platform shall not be interpreted as an endorsement, recommendation, certification, verification, or approval by Launchwood.
Creators remain solely liable for all claims, losses, disputes, damages, regulatory actions, taxes, fines, penalties, or legal proceedings arising from their projects.
Launchwood reserves the right, but assumes no obligation, to remove, hide, restrict, suspend, or limit the visibility of any project from its frontend interface where it reasonably believes such action is necessary to protect users, comply with applicable law, preserve Platform integrity, or respond to legal or regulatory requirements. Such actions shall not affect the underlying smart contracts or blockchain records.
8. Participation in Auctions
Participation in token launches through the Platform involves interaction with decentralized smart contracts and blockchain networks.
By participating in any auction or launch, you acknowledge and agree that:
- You are solely responsible for reviewing the launch details before participating.
- You understand the auction mechanics and settlement process.
- You have independently evaluated the associated risks.
- You authorize every blockchain transaction through your own wallet.
Launchwood does not guarantee that:
- An auction will successfully complete.
- A launch will achieve its funding objectives.
- A token will have any future market value.
- Secondary market liquidity will exist.
- Liquidity pools will function as expected.
- A project will continue development after its launch.
- A project creator will fulfill any promises or roadmap.
Auction outcomes depend entirely upon smart contract execution, blockchain network conditions, and user participation.
Once a blockchain transaction has been submitted and confirmed, it generally cannot be reversed, modified, cancelled, or refunded.
Users are solely responsible for:
- Reviewing auction parameters.
- Confirming contribution amounts.
- Verifying wallet addresses.
- Understanding settlement conditions.
- Paying applicable blockchain network fees.
Launchwood does not guarantee uninterrupted availability of auctions or uninterrupted access to the Platform.
Network congestion, blockchain forks, validator behavior, RPC failures, oracle failures, wallet issues, software bugs, or other technical events may affect auction participation or settlement.
9. Fees & Gas Costs
Use of the Platform may require payment of blockchain network fees ("gas fees"), protocol fees, trading fees, or other fees associated with blockchain transactions.
By using the Platform, you acknowledge that:
- Blockchain network fees are determined by the applicable blockchain network and are not controlled by Launchwood.
- Gas fees may fluctuate significantly depending upon network conditions.
- Blockchain transaction fees are generally non-refundable once a transaction has been submitted.
- You are solely responsible for ensuring that your wallet contains sufficient funds to complete any transaction.
Launchwood may charge protocol fees, service fees, trading fees, listing fees, or other fees for certain Platform features.
Applicable fees, where any, will be displayed through the Platform or otherwise communicated before the relevant transaction is authorized.
Launchwood reserves the right to introduce, modify, remove, or adjust Platform fees at any time.
Unless expressly required by applicable law or explicitly stated by Launchwood, all fees paid through the Platform are non-refundable.
Nothing in these Terms guarantees that any particular fee structure will remain unchanged.
10. Prohibited Activities
You agree that you will not use the Platform to engage in any unlawful, abusive, fraudulent, or harmful activity.
Without limitation, you agree not to:
- Violate any applicable law or regulation.
- Use the Platform for money laundering, terrorist financing, sanctions evasion, or other illegal financial activity.
- Engage in fraud, deception, phishing, impersonation, or identity theft.
- Create or promote fraudulent, malicious, deceptive, or misleading token launches.
- Upload content that infringes the intellectual property rights of others.
- Distribute malware, ransomware, spyware, viruses, or malicious code.
- Attempt unauthorized access to Launchwood systems or infrastructure.
- Interfere with or disrupt Platform operations.
- Exploit software bugs, vulnerabilities, or smart contract weaknesses.
- Manipulate auctions through fraudulent or deceptive means.
- Circumvent Platform security measures.
- Abuse referral programs or promotional campaigns.
- Submit automated spam, excessive requests, or denial-of-service attacks.
- Reverse engineer, decompile, or attempt unauthorized extraction of proprietary Platform components where prohibited by law.
- Use the Platform in a manner that could damage the reputation, integrity, security, or operation of Launchwood.
Launchwood reserves the right to investigate suspected violations and to cooperate with law enforcement authorities where appropriate.
Launchwood may suspend, restrict, hide, remove, or otherwise limit access to Platform services where it reasonably believes these Terms have been violated.
Nothing in this section obligates Launchwood to actively monitor user activity or investigate every alleged violation.
11. Third-Party Services
The Platform relies upon and integrates with numerous third-party services that are not owned or controlled by Launchwood.
These services may include:
- Blockchain networks.
- Wallet providers.
- Wallet connection protocols.
- RPC providers.
- Blockchain explorers.
- IPFS services.
- Cloud infrastructure providers.
- Analytics providers.
- Content delivery networks.
- External websites.
- Social media platforms.
- Developer tools.
Launchwood does not own, operate, endorse, control, monitor, audit, or guarantee any Third-Party Service.
Your use of Third-Party Services is governed solely by the terms, policies, and practices of those providers.
Launchwood shall not be responsible or liable for any loss, damage, delay, outage, exploit, security incident, inaccurate information, service interruption, or failure arising from any Third-Party Service.
Links to third-party websites are provided solely for user convenience and do not constitute an endorsement, recommendation, or approval of the linked content.
12. Intellectual Property & User Content
Except as expressly provided in these Terms, all intellectual property rights relating to the Platform, including its software, interface design, branding, logos, graphics, documentation, source code (where proprietary), text, trademarks, service marks, and other Platform content are owned by or licensed to Launchwood and are protected by applicable intellectual property laws.
Nothing in these Terms grants you ownership of any Launchwood intellectual property.
Subject to these Terms, Launchwood grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.
Creators retain ownership of the Project Metadata and other content they submit to the Platform.
By submitting Project Metadata, you grant Launchwood a worldwide, non-exclusive, royalty-free, sublicensable license to:
- Host.
- Store.
- Copy.
- Display.
- Publish.
- Index.
- Cache.
- Distribute.
- Reproduce.
- Format.
- Modify solely as necessary for technical compatibility.
- Use such content for operating, promoting, maintaining, and improving the Platform.
Creators represent and warrant that they possess all necessary rights to grant the foregoing license.
Launchwood reserves the right to remove, hide, or refuse to display Project Metadata that it reasonably believes violates these Terms, infringes third-party rights, or presents legal, regulatory, or security concerns.
13. Assumption of Risk
By accessing or using the Platform, you expressly acknowledge and accept that participation in blockchain networks, decentralized finance ("DeFi"), token launches, digital assets, and auction-based fundraising involves substantial risk, including the potential loss of your entire contribution or investment.
You acknowledge that you fully understand these risks and voluntarily assume all risks associated with your use of the Platform.
Such risks include, without limitation:
- Complete or partial loss of digital assets.
- Smart contract bugs, vulnerabilities, exploits, or unforeseen behavior.
- Software defects or implementation errors.
- Blockchain reorganizations, forks, congestion, or validator failures.
- Network outages or degraded performance.
- RPC provider failures.
- Wallet software failures.
- Oracle failures.
- Frontend errors or temporary service interruptions.
- Failed, delayed, or reverted blockchain transactions.
- MEV (Maximal Extractable Value), front-running, sandwich attacks, and other blockchain-specific trading risks.
- Market volatility and rapid price fluctuations.
- Lack of liquidity or inability to sell acquired tokens.
- Permanent loss of private keys or wallet credentials.
- Regulatory changes affecting digital assets or blockchain technology.
- Tax consequences arising from blockchain transactions.
- Cyberattacks, phishing attempts, malware, ransomware, social engineering, or other malicious activities.
- Failure of project creators to fulfill promises, deliver products, maintain development, or otherwise operate their projects.
Launchwood does not guarantee:
- The success of any token launch.
- The legitimacy or quality of any project.
- Future token value.
- Secondary market liquidity.
- Trading volume.
- Price stability.
- Future protocol support.
- Platform availability.
- Freedom from software defects or vulnerabilities.
Participation in any launch does not constitute an investment in Launchwood or any guarantee of future returns.
You acknowledge that all decisions made through the Platform are made independently and entirely at your own risk.
Where liquidity is deployed through immutable smart contracts as part of the Platform's launch process, Launchwood cannot subsequently modify, unlock, recover, redirect, or otherwise control such liquidity unless expressly provided by the governing smart contracts.
14. No Investment, Financial, Legal or Tax Advice
Launchwood is a technology platform that provides software interfaces for interacting with decentralized smart contracts.
Nothing available through the Platform constitutes or should be interpreted as:
- Investment advice.
- Financial advice.
- Legal advice.
- Tax advice.
- Accounting advice.
- Brokerage services.
- Custody services.
- Fiduciary services.
- Securities recommendations.
- Endorsements.
- Solicitation to purchase or sell any asset.
Any information displayed through the Platform, including token information, auction statistics, pricing data, liquidity information, project descriptions, documentation, social links, or market information, is provided solely for informational purposes.
Launchwood does not investigate, verify, endorse, audit, certify, or guarantee the accuracy, completeness, legality, reliability, or legitimacy of information provided by project creators or third parties.
Users are solely responsible for conducting their own independent research and obtaining professional advice where appropriate before participating in any launch or interacting with any digital asset.
No communication from Launchwood, whether written, verbal, electronic, or otherwise, shall create any warranty, guarantee, fiduciary relationship, or advisory obligation.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, SMART CONTRACTS, SOFTWARE, WEBSITE, APIs, CONTENT, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
LAUNCHWOOD EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, LAUNCHWOOD DOES NOT WARRANT THAT:
- The Platform will operate without interruption.
- The Platform will always be available.
- The Platform will be secure.
- The Platform will be error-free.
- The Platform will be free of bugs or vulnerabilities.
- Smart contracts will function without defects.
- Blockchain transactions will succeed.
- Information displayed through the Platform will always be accurate or complete.
- Any project listed on the Platform is legitimate.
- Any digital asset will retain value.
- Any feature will remain available indefinitely.
Launchwood may modify, suspend, discontinue, or remove any portion of the Platform at any time without prior notice.
Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, the foregoing exclusions shall apply to the maximum extent permitted by applicable law.

16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL LAUNCHWOOD, ITS FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, DEVELOPERS, CONTRIBUTORS, ADVISORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES OF ANY KIND.
THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR ANY OTHER LEGAL THEORY.
WITHOUT LIMITING THE FOREGOING, LAUNCHWOOD SHALL NOT BE LIABLE FOR ANY LOSS ARISING FROM OR RELATED TO:
- Loss of digital assets.
- Loss of cryptocurrency.
- Loss of tokens.
- Failed token launches.
- Failed auctions.
- Smart contract exploits.
- Blockchain forks.
- Blockchain congestion.
- Network outages.
- Wallet failures.
- Private key loss.
- Unauthorized wallet access.
- Cyberattacks.
- Project creator misconduct.
- Fraud.
- Rug pulls.
- Market manipulation by third parties.
- Token price declines.
- Liquidity shortages.
- Regulatory actions.
- Government restrictions.
- Tax obligations.
- Technical errors.
- Software bugs.
- Third-party service failures.
- Force majeure events.
- Lost profits.
- Lost business opportunities.
- Loss of goodwill.
- Loss of reputation.
- Loss of data.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IF LAUNCHWOOD IS FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM, ITS AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT OF PROTOCOL FEES, IF ANY, PAID DIRECTLY TO LAUNCHWOOD BY THE CLAIMANT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS SHALL EXCLUDE LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
17. Indemnification
You agree to indemnify, defend, and hold harmless Launchwood, its founders, directors, officers, employees, contractors, developers, contributors, advisors, affiliates, licensors, service providers, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, penalties, fines, settlements, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:
- Your use of or access to the Platform.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any token launch, project, auction, or digital asset that you create, manage, promote, or participate in.
- Your infringement or alleged infringement of any intellectual property, privacy, publicity, contractual, or other rights of any third party.
- Any false, inaccurate, misleading, or unlawful information submitted by you.
- Any dispute between you and another user, project creator, participant, or third party.
- Your negligence, misconduct, fraud, or intentional wrongdoing.
Launchwood reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with Launchwood in the defense of such claims.
This indemnification obligation shall survive the termination of these Terms and your use of the Platform.
18. Termination & Suspension
Launchwood reserves the right, at its sole discretion and without prior notice, to suspend, restrict, limit, or terminate your access to all or any portion of the Platform where we reasonably believe such action is necessary to:
- Protect the security or integrity of the Platform.
- Prevent fraud, abuse, or unlawful activity.
- Investigate suspected violations of these Terms.
- Comply with applicable law, court orders, or regulatory requirements.
- Respond to security incidents.
- Protect other users or third parties.
- Maintain Platform stability and reliability.
Such actions may include:
- Restricting frontend access.
- Disabling APIs.
- Removing or hiding project metadata.
- Suspending referral rewards.
- Restricting waitlist participation.
- Blocking access to certain Platform features.
Because Launchwood operates through decentralized blockchain infrastructure, suspension or termination of access to the Platform's frontend does not necessarily affect the operation of immutable smart contracts or blockchain transactions that have already been deployed.
Launchwood shall have no obligation to provide advance notice, maintain Platform availability, restore suspended access, or retain any user-submitted content beyond what is required by applicable law.
19. Force Majeure
Launchwood shall not be liable for any delay, interruption, failure, loss, or inability to perform resulting from events beyond its reasonable control.
Such events include, without limitation:
- Natural disasters.
- Floods.
- Fires.
- Earthquakes.
- Pandemics.
- Epidemics.
- War.
- Terrorist acts.
- Civil unrest.
- Government actions.
- Regulatory changes.
- Court orders.
- Sanctions.
- Internet outages.
- Power failures.
- Telecommunications failures.
- Blockchain congestion.
- Blockchain forks.
- Validator failures.
- RPC outages.
- Cloud infrastructure failures.
- DDoS attacks.
- Cybersecurity incidents.
- Software vulnerabilities.
- Third-party service interruptions.
- Labor disputes.
- Supply chain disruptions.
- Any other event beyond Launchwood's reasonable control.
Launchwood shall not be considered in breach of these Terms for any failure or delay caused by such events.
20. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Launchwood or its operating entity is incorporated, without regard to its conflict of law principles.
You agree that any dispute, claim, controversy, or legal proceeding arising out of or relating to these Terms or your use of the Platform shall be resolved in the courts or dispute resolution forum having jurisdiction over Launchwood's operating entity, unless otherwise required by applicable law.
Before initiating formal legal proceedings, the parties agree to make commercially reasonable efforts to resolve disputes through good-faith discussions.
Nothing in these Terms shall prevent Launchwood from seeking injunctive relief, equitable remedies, or other appropriate legal remedies where necessary to protect its intellectual property, confidential information, security, or legal rights.
If any provision of this section is found to be unenforceable, the remaining provisions shall continue in full force and effect.
21. Miscellaneous
Entire Agreement
These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Launchwood regarding your use of the Platform and supersede all prior agreements, understandings, or communications relating to the subject matter herein.
Severability
